ZOHO MVP PROGRAM TERMS AND CONDITIONS

These Zoho MVP Program Terms and Conditions ("Terms") govern your participation in the Zoho MVP Program ("MVP Program").

1. DEFINITIONS

1.1. "Zoho Community" refers to the network of Zoho employees, partners and customers (both existing and prospective) who connect over online forums, user group meetups and other virtual events to collaborate and share knowledge regarding Zoho Services.

1.2. "Zoho Services" refers to the Zoho suite of online business, productivity and collaboration applications listed at https://www.zoho.com/

2. TERM AND RE-INDUCTION :

The MVP designation is valid for a period of one year and re-induction into the MVP Program after one year is based on your contribution to the program in the previous year.

3. CRITERIA FOR ELIGIBILITY :

Following are the key criterion for your recognition as an MVP for the initial and subsequent terms :

  1. Regular engagement and willingness to collaborate with peer MVPs and Zoho enthusiasts through active participation in the online forums within Zoho Community and dedicated Zoho Cliq channel.

  2. Regular participation in the discussions within the online forums in Zoho Community, at least eight (8) days every month by, (i) responding to queries from other members of the community, (ii) validating feature requests , (iii) flagging spam content and (iv) contribution based on product knowledge and expertise.

  3. Acting as the voice of the members within Zoho Community by sharing their feedbacks in relation to Zoho Services with Zoho.

  4. Active participation and contribution through calls, emails and chats in the periodic discussions with Zoho relating to Zoho Services.

4. CODE OF CONDUCT :

  • 4.1. You should represent Zoho professionally and ethically in all your interactions and discussions within and outside the Zoho Community.
  • 4.2. You should not impersonate a Zoho employee, partner, or a user.
  • 4.3. You should not publish, post, distribute, or disseminate defamatory, infringing, obscene, or other unlawful material in connection with the MVP Program.
  • 4.4. You agree that you will be solely responsible and liable for anything you say or do in connection with the MVP Program.

5. CONFIDENTIALITY :

  • 5.1. In the course of your participation in the MVP Program, you may have access to Zoho's Confidential Information. "Confidential Information" means any and all information belonging to Zoho which is of value to Zoho and the disclosure of which would result in a competitive or other disadvantage for Zoho, including, without limitation, (i) information relating to Zoho Services, upcoming products launches or enhancements, (ii) any and all information relating to Zoho's internal policy, procedures or methods that are not public information and (iii) such other information that would be reasonably understood as confidential.
  • 5.2. You agree that you will hold all and any Zoho Confidential Information in strict confidence and shall employ all reasonable measures to protect its confidentiality. You further agree that you will use Zoho Confidential Information solely in connection with the MVP Program and will not use it otherwise without express written permission of Zoho.
  • 6.In case you are designated as a Zoho MVP, Zoho reserves the right to publish your contributions as part of your MVP profile in Zoho Community website.
  • 7. You shall be solely responsible for communicating, without any delay, any changes and/or updates in the details that you share with Zoho for your MVP portfolio in the Zoho Community website.
  • 8. You understand and agree that Zoho, in accordance with applicable laws, will use your information such as your name, photo, your job title (along with the name of your organisation) and city of your residence for promotional purposes without additional compensation. You further understand and agree that you are solely responsible for obtaining requisite approvals from your employer prior to your participation in the MVP Program.
  • 9. You understand and agree that your participation to this MVP Program is purely on a voluntary basis and Zoho will not be remunerating you for your contributions.
  • 10. Notwithstanding your adherence to the requirements for the qualification to the MVP Program, Zoho reserves the right to revoke your MVP designation at any point of time and further reserves the right to terminate the MVP Program at any point of time.
  • 11. Zoho reserves the right to modify these Terms at any point of time. Modifications to the Terms will be effective subsequent to publication of such modification in our website.

12. INDEMNIFICATION :

You agree to indemnify, defend and hold Zoho and its subsidiaries (including its respective affiliates, officers, directors, employees, contractors and assigns) harmless from and against any loss, claim, liability, damage, action or cause of action (including reasonable attorneys' fees) arising out of any claim relating to or in connection with (i) breach of your obligations set forth in these Terms; (ii) breach of applicable laws or (iii) infringement of third party intellectual property right or other proprietary rights. You agree not to settle a Claim without Zoho's prior written consent, which may not be unreasonably withheld.

13. LIMITATION OF LIABILITY :

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZOHO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES. IN NO EVENT WILL ZOHO'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE ZOHO SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (U.S. $100.00).
