ZUG Sponsorship - Terms and Conditions

These terms and conditions constitute an agreement (“Agreement") between Zoho Corporation ("Zoho") and the person or organisation that has made an application for the sponsorship opportunity (“Sponsor”) at Zoho User Group Meetups ("Event"). By selecting a specified sponsorship opportunity, the Sponsor agrees to the following terms and conditions.

Granting of License:

  • The Sponsor hereby grants to Zoho, a worldwide, non-exclusive, royalty-free, sub-licensable worldwide license to use the Sponsor’s logos and trademarks provided to Zoho in connection with the sponsorship opportunity (“Sponsor Marks”) in order to carry out Zoho’s obligations as mentioned in the prospectus.
  • Subject to the condition that the Sponsor will comply with the provisions of this Agreement as set forth hereunder, Zoho grants the Sponsor a non-exclusive, non-transferable, royalty-free, revocable, worldwide license for the period of time between the date of the Agreement and the end of the Event, to use Zoho’s logos and trademarks (“Zoho Marks”) solely and strictly for the purpose of reasonably promoting, marketing and advertising Sponsor’s participation in the Event as contemplated in this Agreement.

    Terms of Payment:

    In order to confirm the sponsorship opportunity, the Sponsor shall pay the fees within the time stipulated. The sponsorship fees and any other fees specified are net amounts and all payments made against these fees are exclusive of the taxes applicable and the Sponsor is liable to pay all the applicable taxes. In the event that the Sponsor fails to pay any or all such fees within the payment deadlines, Zoho reserves the right to reassign or cancel the sponsorship opportunity allocated to the Sponsor.

    Submission of the Sponsor Marks & Website Link:

    The Sponsor shall submit the Sponsor Marks, that are to be displayed in connection with the sponsorship opportunity selected by the Sponsor, within five days from the date of signing the Agreement. The Sponsor shall submit the Sponsor Marks in the form and manner as specified in the ’sponsorship opportunity confirmation’ mail sent to the Sponsor by Zoho. The Sponsor shall also submit a link to its website. Zoho will hyperlink the same in its event page. In order to make any changes to the Sponsor Marks, the Sponsor shall send an e-mail to meetups@zohocorp.com. Such changes will only be entertained up to 30 days prior to the date of the Event.

    Cancellation & Refunds:

    a. If the Sponsor desires to cancel an allocated sponsorship opportunity, then the Sponsor may only do so by sending an e-mail to meetups@zohocorp.com.

    b. If the Sponsor desires to withdraw and cancel the booking of a sponsorship opportunity, the following shall apply:

    • Cancellations made 90 days prior to the date of the Event - full refund of the fees paid
    • Cancellations made between 60 to 90 days prior to the date of the Event - 50% of the fees paid will be refunded
    • Cancellations made between 30 to 60 days prior to the date of the Event - 25% of the fees paid will be refunded
    • Cancellations made less than 30 days prior to the date of the Event – no refund of the fees paid.

    Notice of withdrawal of sponsorship:

    In case the Sponsor has permitted Zoho to conduct the Event in the premise provided by the Sponsor and the Sponsor desires to withdraw such sponsorship, the Sponsor shall notify the same to Zoho by sending an e-mail to meetups@zohocorp.com at least 30 days before the date of the Event.

    Sponsor Obligations:

    • The Sponsor may not assign, sub licence or otherwise transfer any of its rights or obligations under this Agreement without Zoho’s prior explicit written consent .
    • The Sponsor shall comply, without limitation, with all relevant laws and regulations in force that relate to the promotion of the Event.
    • The Sponsor Marks submitted by the Sponsor shall not, infringe the rights of any third party.
    • The Sponsor, in connection with the promotion of sponsor’s participation in the Event shall use all reasonable endeavours to protect Zoho Marks.
    • The Sponsor shall not engage in any joint promotions with any third party in connection with the Event without Zoho’s prior written consent.
    • The Sponsor acknowledges and agrees that Zoho is the sole host of the Event. All rights not specifically granted to the Sponsor under this Agreement are reserved for Zoho.
    • The Sponsor agrees not to circulate or place any marketing/advertising materials promoting any of Zoho’s direct competitors without explicit written consent of Zoho. Placement of standee/roll up banners is subject to space availability and agreement with the venue provider.
    • Any opportunity to present in the Event shall be provided to the Sponsor, only at the sole discretion of Zoho. Zoho does not guarantee the Sponsor an opportunity to present about their products or Zoho products in the Event.
    • The Sponsor understands and agrees that the Event is open to anyone who wishes to participate in the same and may be attended by anyone including but not limited to competitors of the Sponsor, other Zoho partners. The Sponsor shall in no event, have the right to restrict any attendee from attending the Event.
    • The Sponsor shall not engage in any activity that solicit the customers of other Zoho partners.
    • The Sponsor understands and agrees that during the Event, the Sponsor shall not make any references to or comparisons with any of Zoho's competitors without Zoho's explicit consent.
    • Awarding sponsorship should not be projected as Zoho's endorsement of sponsor's product and (or) services in anyway.

    Zoho User Group:

    Zoho is the sole owner of all user groups created and managed by Zoho for the purpose of any Event ("Zoho User Group" or "ZUG"). The Sponsor understands and agrees that it shall not use the names of such Zoho User Groups, including the abbreviated forms of such names, either in whole or in part, to create social media accounts, profiles or similar groups. Zoho may, at its sole discretion permit a Zoho partner to create and manage a ZUG.

    Indemnity:

    The Sponsor shall indemnify, defend and hold Zoho harmless from and against all damages, losses, costs (including all reasonable legal costs), expenses or liabilities arising out of any claim or demand by a third party arising from (i) Sponsor's non-compliance of terms and conditions this Agreement; and (ii)Zoho’s use of the Sponsor Marks in accordance with this Agreement which results in infringement of any Intellectual Property Rights or moral rights of any third party.

    Relocation or Postponement of the Event:

    If for any reason, Zoho changes the location , or date of the Event, no refund will be due to the Sponsor; but Zoho shall ensure that the same sponsorship entitlements promised is fulfilled at the rescheduled or relocated Event respectively. Zoho shall not be financially liable or otherwise obligated to the Sponsor in case the Event is postponed or relocated.

    Cancellation of the Event:

    In case of cancellation of the Event by Zoho for any reason, Sponsor shall be entitled to refund of fees paid for the sponsorship opportunity. Refund of the sponsorship fee, as provided in this Section, shall be the exclusive remedy of the Sponsor against Zoho for cancellation of the Event by Zoho.

    Powers and Discretions of Zoho:

    a. Termination of the Agreement: Zoho reserves the right to cancel this Agreement under the following conditions:

    • If the Sponsor fails to make the payment within the stipulated time frame.
    • If the Sponsor commits a material breach of any terms and conditions in the Agreement.

    b. Consequences of Termination: Following termination of this Agreement for whichever reason, the sponsorship opportunity and rights granted by Zoho to the Sponsor under this Agreement shall immediately terminate and revert to Zoho, after which the Sponsor shall not exercise any right granted and shall neither use nor exploit (directly or indirectly) its previous connection either with Zoho or the Event.

    Disclaimer:

    Zoho does not guarantee and makes no representation about the minimum numbers of attendees to the Event. Zoho shall in no way be responsible or liable for any refund or compensation in any way, if the total number or type of attendees are below the expectations of the Sponsor.

    Sponsor understands and agrees that Zoho will not share any information about the Event attendees to the Sponsor.

    Intellectual Property Rights Policy:

    a. Zoho and the Sponsor acknowledge as follows:

    • All rights in the Sponsor Marks, including any goodwill associated with them, shall be the sole and exclusive property of the Sponsor, and Zoho shall not acquire any rights in the Sponsor Marks, nor in any developments or variations of them;
    • All rights in Zoho Marks, including any goodwill associated with them, shall be the sole and exclusive property of Zoho and the Sponsor shall not acquire any rights in Zoho Marks, including any developments or variations of them;

    b. All intellectual property rights in and to any materials produced for the Event, excluding the Sponsor Marks, shall remain, or be assigned to become, the sole and exclusive property of Zoho.

    Force Majeure:

    In case of cancellation of the Event or unavailability of the venue due to war, threat or acts of terrorism, governmental action or order, act of God, fire, strike, infectious disease, labour disputes, or any other causes beyond Zoho’s control, this Agreement shall terminate, and Sponsor shall be entitled to refund of the sponsorship fees.

    General Provisions:

    1. This Agreement shall be governed & interpreted under the laws of the State of California (excluding the rules governing conflict of laws).
    2. No modification, amendment, supplement to or waiver of this Agreement or any of its provisions shall be binding upon the parties hereto unless the same is in writing and duly signed by both of the parties to this Agreement.
    3. The parties hereto expressly understand and agree that each party is an independent contractor in the performance of every part of this Agreement, and neither party nor its agents and employees are the representatives of the other party for any purpose. Further, neither party shall represent, act for, bind or otherwise, create or assume any obligation on behalf of the other party for any purpose whatsoever.

    End of Terms
